1. Scope
This document defines the Licensing and Support conditions applicable to the Software Only version of the SynetoOS operating system (hereinafter, "the Software"). By purchasing, downloading, installing, or using the Software, the Customer fully and unreservedly accepts these terms.
2. Licensing Terms
2.1 Purchase Conditions
The Software is provided “as-is” and may be purchased only through a formal order placed with Syneto or an authorized reseller. Each license is granted for a fee and requires the completion of the administrative and payment process. The purchase does not transfer ownership, but only grants a limited, non-exclusive right to use the Software.
2.2 Download
After purchase, the Customer will receive access credentials and instructions to download the Software. Syneto reserves the right to apply protection mechanisms (e.g. license keys, activation codes, DRM).
2.3 Installation & Documentation
Installation must strictly follow the official technical documentation.
Syneto shall not be held responsible for malfunctions resulting from improper installations, non-compliant environments, or unauthorized modifications.
2.4 Copyright & Intellectual Property
The Software remains the exclusive property of Syneto. Copying, modifying, decompiling, reverse engineering, distributing, or sub-licensing the Software without prior written authorization is strictly prohibited.
2.5 Term & Conditions of Use
The license is granted for a fixed or indefinite term, as specified in the purchase order. Use is permitted only on compliant hardware.
2.6 Supported Hardware
The Software is certified exclusively for use on the hardware platforms listed and updated in the official list available on the Syneto Help Center (https://help.syneto.eu). This list is an integral part of this agreement and is subject to periodic updates. Use of the Software on platforms not included in the official list is at the Customer's own risk and automatically results in the cancellation of the right to receive technical assistance and support.
3. Support Terms
3.1 Scope of Support
Syneto provides technical support according to the official Support Policies available on the Syneto Help Center (https://help.syneto.eu). Support includes installation, configuration, updates, patches, and access to the knowledge base.
3.2 Service Levels
Support levels and response times are defined in the official Support policies available on the Syneto Help Center (https://help.syneto.eu). Certain advanced services may require additional support agreements.
3.3 Updates & Patches
Syneto periodically releases updates, security fixes, and patches. It is the Customer's responsibility to promptly install such updates. Syneto cannot be held liable for damages resulting from failure or delay in installing them. Updating is essential to maintaining the Software's security and reliability.
3.4 End of Support (EoS)
Each version of the Software is subject to a defined lifecycle with an End of Support (EoS) date, available on the Syneto Help Center (https://help.syneto.eu). After this date, the Software may be used solely at the Customer's own risk and without the right to technical support or updates.
3.5 Limitation of Liability
Customer acknowledges and agrees that: (a) the Software may contain minor errors or bugs; (b) Syneto’s maximum liability for direct damages shall not exceed the value of the license purchased; (c) compensation for indirect or consequential damages, loss of data, or business interruption is expressly excluded. These disclaimers are subject to specific written approval pursuant to Articles 1341 and 1342 of the Italian Civil Code.
3.6 License Revocation
Syneto reserves the right to immediately revoke the license granted in the event of: (a) infringement of intellectual property rights; (b) unauthorized distribution to third parties; (c) tampering, reverse engineering, or decompilation; (d) use on uncertified hardware. Revocation will be communicated in writing and will result in the immediate termination of the right of use.
4. General Provisions
4.1 Implied Acceptance
By purchasing, downloading, or using the Software, the Customer accepts these terms.
4.2 Jurisdiction
Any dispute shall be submitted to the courts where Syneto has its registered office.
4.3 Language
In case of discrepancies between translations, the Italian version shall prevail.
5. Conclusion
This document constitutes an official communication from Syneto and a binding condition for the use of SynetoOS – Software Only.
